Statute of the International Thermoelectric Academy
1.1.The International Thermoelectric Academy (hereinafter referred to as Thermoelectric Academy) is an international public organization that unites on a voluntary basis leading scientists in the field of thermoelectricity.
1.2. The Thermoelectric Academy carries out its activities proceeding from principles of voluntary, equal rights of its members, self-government, legality and publicity, it acts in accordance with the Constitution of Ukraine, acting legislation and the present Regulations.
1.3. The Thermoelectric Academy's activity spreads over the territory of Ukraine, USA, France, Japan, Russia, Republic of Moldova, Belarus, Lithuania, Kazakhstan and other countries where its branches and agencies will be formed.
1.4. The Thermoelectric Academy is a legal corporate body since its state registration in the Ministry of Justice of Ukraine, it has a right to conclude contracts and other agreements on behalf of the Academy, to acquire property and individual non-property rights.
The Thermoelectric Academy has its own independent balance, settlement, foreign currency and other accounts in banking institutions, a round seal in Ukrainian and in English, a stamp, letter-head forms and other attributes and symbols approved by the President and registered in accordance with established procedure.
1.5. The Thermoelectric Academy is a non-commercial, non-intermediary and non-profit international public organization, it may form non-commercial, non-intermediary and non-profit associations with other founders.
1.6. The Thermoelectric Academy's activity is accomplished in close contact with the International Thermoelectric Society.
1.7. The Thermoelectric Academy's activity is closely related to the National Academy of Sciences of Ukraine and Academies of Sciences of other countries.
2.1. The Thermoelectric Academy is formed with the object of involving the leading scientists of the world to contribute to solving relevant theoretic and practical tasks in the field of thermoelectricity, focusing their scientific potential on solving thermoelectric problems of international importance, training personnel on thermoelectricity and protecting legal, social, economic, creative and other common interests of its members.
2.2. The basic tasks of the Thermoelectric Academy are as follows
- to promote the development of science and technology in the field of thermoelectricity;
- to establish scientific and business contacts with the scientists of different countries, assist the members of the Thermoelectric Academy in realization of their scientific works results;
- to assist in holding the international schools on thermoelectricity in order to improve young specialists’ professional skills in the field of thermoelectricity.
2.3. To perform the Statute tasks, the Thermoelectric Academy in the established by the legislation order:
- assists in determination of scientists' priority in scientific discoveries and determination of scientific problems in thermoelectricity;
- makes a scientific public examination of monographs, scientific papers, scientific and technical projects, theses;
- takes part in the activity of the Journal of Thermoelectricity through publication of scientific works, expert examination of scientific papers;
- assists in the publishing activity of the Journal of Thermoelectricity;
- organizes meetings of leading scientists for discussion of vital problems of progress in thermoelectricity, as well as for the establishment of a creative atmosphere;
- assists in publishing of books (monographs, text-books, reference books, etc.) on thermoelectricity;
- contributes to young personnel training in thermoelectricity, particularly to formation of college programs and courses on a par with the international level;
- contributes to development of unified terminology in thermoelectricity;
- contributes to creation of unified techniques for determination of thermoelectric materials and thermoelectric device properties;
- assists in the determination of historical scientific priorities of individuals or schools;
- assists in forecasting the progress in thermoelectricity;
- assists in conducting the efforts on gathering, archiving and scientific processing of materials on thermoelectricity;
- assists in concluding scientific contacts and scientific literature exchange with foreign and international societies and enterprises in accordance with the established procedure;
- distributes the information and propagates its ideas and objects;
- receives from the authorities the information necessary for realization of its objects and tasks;
- holds consultations in all the lines of scientific activity in thermoelectricity via its members;
- carries out other activities corresponding to the Statute tasks and objects, provided they are not forbidden by the law.
3.1. The Thermoelectric Academy is considered to be created by the resolution of the Constituent Assembly comprising leading scientists and specialists in thermoelectricity
The members of the Constituent Assembly can be represented by different states, at least one representative from one state.
The Thermoelectric Academy is considered to be created if all the members of the Constituent Assembly voted for it unanimously.
3.2. In the first session of the Constituent Assembly its members elect once by open voting the Academicians of the Thermoelectric Academy. More than 50 % of the Constituent Assembly members must be present at the session. The Academicians are considered to be elected, provided the number of affirmative votes is equal to 3/4.
The election of the Academicians of the Thermoelectric Academy is carried out only with the availability of the candidates' written consent.
The candidates for election are included by the Constituent Assembly to the list for the open voting, provided they meet the following requirements
1) they are the leading recognized specialists in thermoelectricity;
2) they have defended thesis in thermoelectricity;
3) they have at least one monograph in thermoelectricity;
4) they have the followers in the field of thermoelectricity.
3.3. On electing the Academicians of the Thermoelectric Academy, the Constituent Assembly ceases its election activity.
3.4. Further election of the Academicians of the Thermoelectric Academy takes place at the general meetings of the Thermoelectric Academy in conformity with the Regulations on the Academicians of the Thermoelectric Academy which is adopted by the general meetings.
3.5. The members of the Constituent Assembly are the members of the Thermoelectric Academy
4.1. The membership in the Thermoelectric Academy can be only individual
The individual members can be the citizens of Ukraine, as well as foreign citizens and stateless persons who are the leading scientists and specialists in thermoelectricity.
To enter the Thermoelectric Academy, individuals submit an application in the written form to the general meeting.
4.2. The members of the Thermoelectric Academy on a voluntary basis carry out individual scientific, methodical and scientific-organizing activity and inform the Thermoelectric Academy thereafter.
4.3. The members of the Thermoelectric Academy have the rights:
- to elect the governing bodies of the Thermoelectric Academy;
- to receive the information on their work;
- to participate in the determination of the main Thermoelectric Academy activity trends, the efforts of its working groups, and also in all the events held by the Thermoelectric Academy;
- to discuss any issues of the Thermoelectric Academy activity and to offer proposals concerning the improvement of its work;
- to use or rent in accordance with the established procedure the buildings, edifices, inventory, equipment, etc;
- to apply to the respective bodies of the Thermoelectric Academy asking for social or legal protection and assistance;
- to take an active part in the discussion of any issue concerning the rights and duties of the full member of the Thermoelectric Academy.
4.4. The members of the Thermoelectric Academy are obliged:
- to fulfill the requirements of the Statute of the Thermoelectric Academy;
- to take an active part in accomplishing the objects of the Thermoelectric Academy, in realization of the decisions of its supreme governing bodies.
4.5. The member of the Thermoelectric Academy has the right to leave it.
4.6. The member of the Thermoelectric Academy can be expelled from it because of the infringe of the Statute requirements and because of the actions contradicting to the law.
The decision about the expelling is adopted at the meeting of the Thermoelectric Academy, provided the number of affirmative votes is at least 2/3.
5.1. The supreme governing body of the Thermoelectric Academy is the general meeting (hereinafter referred to as the meeting) which is called by the Bureau of the Thermoelectric Academy as necessary, but not less than every two years, or upon request of at least 1/3 of the Thermoelectric Academy members.
The Bureau of the Thermoelectric Academy announces calling the meeting not later than three months before. The meetings may be also called without prior announcement, if all the members of the Thermoelectric Academy express their consent in written form.
5.2. The meeting of the Thermoelectric Academy:
- shall make decisions on all the issues of the Thermoelectric Academy activities;
- adopts the Statute of the Thermoelectric Academy, the modifications and additions thereto;
- elects the Academicians, the President and the Presidium of the Thermoelectric Academy for five years;
- adopt Regulations on the Auditing Commission;
- realizes the right of ownership for funds and property of the Thermoelectric Academy;
- determines the main trends of the Thermoelectric Academy activities;
- examines the reports of the Presidium, the Bureau, the President and the Auditing Commission;
- examines and adopts the long-term programs and the plans of the Thermoelectric Academy activities;
- makes decisions on the organization and liquidation, reorganization of the Thermoelectric Academy, appoints the Liquidating Commission.
5.3. Meetings are considered to be legally qualified if not less than 51 % of the members of the Thermoelectric Academy take part in their work.
The decision is considered to be adopted if not less than 1/2 of the present members voted in favor of it, except for the decision on the creation, re-organization and liquidation of the Thermoelectric Academy, approval of its Statute, modifications and additions to it that is beyond the exclusive competence of the meetings and is adopted by the majority of votes that is not less than 2/3 of the Thermoelectric Academy members.
5.4. Extraordinary meetings are called upon request of not less than 1/3 of the Thermoelectric Academy members or on the initiative of the Presidium within three months.
5.5. Meetings of the Thermoelectric Academy admit new members of the International Thermoelectric Academy and make a decision about the withdrawal therefrom.
5.6. The President of the Thermoelectric Academy
- in his activity is guided by the decisions of the meetings of the Thermoelectric Academy;
- presides the Thermoelectric Academy;
- organizes the activity of the Thermoelectric Academy Bureau;
- provides the fulfillment of the Presidium and Bureau of the Thermoelectric Academy decisions;
- represents the Academy in the state authorities, public, international and foreign organizations;
- is in charge of the property of the Thermoelectric Academy within his authority;
- signs the contracts, agreements, financial and other documents on behalf of the Thermoelectric Academy;
- approves specimens of seals, letterheads, stamp and symbols.
5.7. One of the Vice-presidents appointed by the President carries out his functions when the President is absent.
Vice-Presidents activity is controlled by the Vice-President Regulations approved by the President.
5.8. For the period between general meetings the Presidium of the Thermoelectric Academy headed by the President of the Thermoelectric Academy is the executive body.
The Presidium of the Thermoelectric Academy:
- approves the Regulations on the Thermoelectric Academy Bureau, determines the Bureau structure, as well as its allowance;
- approves the budget of the Thermoelectric Academy and expenditures, carries out the functions of efficient control over the property;
- makes decisions on the creation and liquidation of departments, branches, agencies and approves their Statutes (Regulations);
- adopts modifications and additions to the Statute of the Thermoelectric Academy with subsequent approval at the meetings;
- when necessary, makes co-optation of the Presidium members with subsequent approval at the general meeting;
- makes other decisions regarding the Statute activity of the Thermoelectric Academy.
5.9. Regular meetings of the Presidium are called not less than every two years, extraordinary ones - on the President’s initiative. The Presidium meetings are considered to be legally qualified, if not less than 2/3 of the Presidium members are present. The Presidium decisions are made by the open voting by the simple majority of voices present.
5.10. The Bureau is the executive body of the Thermoelectric Academy:
- acts in the period between the meetings on behalf of the Thermoelectric Academy and makes decisions on all the issues which are beyond the exclusive competence of the meeting;
- cooperates with authorities, state institutions, public and other organizations on the main issues of activity of the Thermoelectric Academy, concludes agreements with foreign organizations;
- works out proposals on the main trends of the Thermoelectric Academy activity and introduces them for consideration of the meeting;
- according to proposal of the President of the Thermoelectric Academy approves the committees, working groups that act in conformity with the Regulations on committees and working groups approved by the general meeting.
The Bureau of the Thermoelectric Academy acts in conformity with the Regulations on the Bureau adopted by the Presidium. The structure of the Bureau, as well as its allowance are determined by the Presidium or the meeting of the Thermoelectric Academy.
5.11. The Bureau meetings are held as required.
5.12. Working groups can be formed as part of the Bureau of the Thermoelectric Academy.
The working groups determine the measures to realize statute tasks of the Thermoelectric Academy, decisions of its governing bodies.
5.13. The Auditing Commission carries out control over the activity of the Presidium, the President and the Bureau of the Academy, over the fulfillment of the decisions of the Thermoelectric Academy meetings and over its expenditures. It elects the Chairman of the commission and the Secretary from among its members. The Auditing Commission is accountable in its activity to the general meetings of the Thermoelectric Academy.
The Auditing Commission is guided by the Auditing Commission Regulations adopted by the Thermoelectric Academy meeting in its activity.
5.14. The Thermoelectric Academy may create its branches and departments both on the territory of Ukraine and abroad.
5.15. The departments and branches of the Thermoelectric Academy created abroad Ukraine are legalized in conformity with those states legislation where they will function.
5.16. The Thermoelectric Academy departments created on the Ukrainian territory acquire the status of a juridical person from the moment of their state registration at the local authorities. The departments act on the basis of their Statutes (Regulations) which are adopted by their supreme governing body and are adopted by the Presidium of the Thermoelectric Academy. The Statutes (Regulations) of the departments must not be contradictory to the Regulations of the Thermoelectric Academy.
6.1. The Thermoelectric Academy may own buildings, edifices, transport means, funds and other property necessary for its statute activity fulfillment.
6.2. The sources of forming the property and funds of the Thermoelectric Academy property are as follows:
- charitable contributions;
- donations from organizations, institutions and private persons;
- membership dues of the Thermoelectric Academy members.
Organizations that give their money cannot use the Thermoelectric Academy for advertising their commercial activity.
6.3. The Thermoelectric Academy acquires the right of ownership for funds and other property given by the founders, members of the Thermoelectric Academy or the State in accordance with the rules stipulated by the present legislation, donated by individuals, institutions, enterprises and organizations, as well as the for the property bought at its own money or on other basis not prohibited by the law.
6.4. The Thermoelectric Academy, its institutions and organizations are obliged to take care of records management and bookkeeping, statistical reports, to register itself in the state tax inspection board and to make payments to the budget in conformity with the order and amounts stipulated by the legislation.
6.5. The property and funds of the Thermoelectric Academy shall not be arrested or confiscated, unless by the decision of the court and in conformity with the acting legislation.
7.1. The modifications and additions introduced into the statute documents are liable to mandatory registration
7.2. The modifications and additions to the Statute shall be adopted by the general meeting by the majority of votes that is not less than 2/3 of the Thermoelectric Academy members.
8.1. The termination of the Thermoelectric Academy activity can be done by its reorganization, or liquidation (self-dissolution, forced dissolution). The Thermoelectric Academy can terminate its activity by the decision of the meeting adopted by 2/3 of the members.
8.2. Reorganization of the Thermoelectric Academy shall be carried out in conformity with the meeting decision.
8.3. The liquidation shall be carried out based on the meeting or the court decision. The matter of liquidation shall be settled by the liquidating commission formed at the meeting.
8.4. In case of liquidation, the assets of the Thermoelectric Academy shall be transferred to other non-profit organization of respective type or included to the budget income.
